SALE MANAGEMENT AGREEMENT

YOUR COMPANY NAME & FULL ADDRESS (hereinafter called the Client) desires to utilize the expert assistance of J. B. Lynch, PO Box 337, Eglinton Street, Galway, Ireland to conduct the services outlined in paragraph 2.

1. PARTIES & RELATIONSHIPS:

The Client is engaged in the DESCRIPTION OF YOUR TYPE OF BUSINESS.

J. B. Lynch and his associates are by education, training and experience skilled to provide of any or all services required for a successful sales event.

1.1 It is the mutual intent of the parties that J. B. Lynch and his associates shall act strictly in a professional capacity as independent contractors for all purposes and in all situations. J. B. Lynch and his associates are therefore not eligible to participate in any benefit programs or tax withholding obligations of the Client and shall not be considered employees of the Client.

1.2 J. B. Lynch and his associates reserve full control of their activities as to the manner and selection of methods with respect to rendering their professional services to the Client.

1.3 J. B. Lynch and his associates agree to perform their activities in accordance with the highest and best state of the art of their profession.

1.4 J. B. Lynch and his associates shall have access to all relevant information regarding the Client business as required to perform their services.

1.5 The Client is responsible for the purchase and costs of any and all out of pocket sundry items.

1.6 The Client shall be fully in charge and responsible for all financial transactions.

2. SALES PROGRAMS

Each sales program is designed to meet your exact requirements. When you use our services you get full-time, on site, highly experienced Sales Managers to plan, organize and supervise the following:

Complete itemized updated inventory of your existing stock.

Rearrange your showroom/sales floor displays for maximum buyer impact.

Double check your profit margins against delivered cost prices.

Place new description and price tags on all sales items.

Have interior and exterior sales signs designed and displayed.

Ads for your local media by our London and New York trained advertising executives.

Dispatch our special invitation letters to your local VIPs and former customers.

Introduce your existing staff to our proven selling techniques and customer service.

Trained retail sales personnel, if needed, who work on commission only.

Delivery of additional stock to boost sales turnover figures on sale or return basis.

Negotiate special sales event discounts from your wholesale suppliers and manufacturers.

Sales floor management of the sale from start to finish.

3. COMPENSATION

Upon J. B. Lynch's acceptance hereof, the Client agrees to pay J. B. Lynch according as follows:

3.1 All services domestic or foreign will be charged on a daily or part thereof rate of one thousand euro ( 1,000) plus expenses.

3.2 The Client agrees and guarantees to pay all fees no later than Wednesday noon of the following week.

3.3 The Client agrees to pre-pay J. B. Lynch an initial refundable retainer (to be agreed) at the time of signing.

4. DURATION OF AGREEMENT

J. B. Lynch and his associates shall commence their services on (STARTING DATE) and will terminate on (ENDING DATE) unless otherwise mutually agreed in writing by the parties hereto.

5. CONFIDENTIALITY

It is understood that in the performance of their duties, J. B. Lynch & Associates will obtain information about the Client and the Client's business and that such information may include financial data, business contacts and other confidential data. J. B. Lynch & Associates agree to restrict such information to the performance of duties described in this agreement.

6. APPLICABLE LAW

The parties agree that this agreement is to be construed according to International business law.

7. LIMITATION OF PROFESSIONAL LIABILITY

The Client agrees to limit any and all liability or claim for damages, for cost of defense, or for any expenses to be levied against J. B. Lynch to a sum not to exceed one hundred euro or the amount of J. B. Lynch's fee, whichever is the lesser, when such claim arises from any error, omission or professional negligence on the part of J. B. Lynch or his associates. J. B. Lynch does not guarantee the results of or accept any responsibility for the outcome of any action taken by the Client on his or his associates advice.

8. TERMINATION OF AGREEMENT

Either party is allowed to terminate services upon written notice of fourteen (14) days advance. The Client agrees to pay due fees and expenses in full on or before the termination date.

9. INTEGRATION

This agreement, executed in duplicate, constitutes the entire contract between the parties and may be cancelled, modified or amended only by written supplement document executed by each of the parties hereto.
